I. Trade Secrets

While the term “trade secret” is not defined in the text of the FOIA, courts have adopted one of two definitions. When possible, you should argue for the application of the narrower definitions in challenging the government’s invocation of the trade secret exemption. However, as discussed later, there are three elements that are common to both definitions that you should address on appeal.
